Terms and Conditions
1.Welcome to Cardella
- 1.1. These terms and conditions (Terms) apply to your use of the Cardella Software (Software) and physical NFC cards (Products) offered by Cardella Pty Ltd (Cardella, we, us, or our).
- 1.2. By registering on the Software and/or using the Software, you agree to these Terms.
2. Acceptance and Software License
- 2.1. You must be at least 18 years old to use the Software.
- 2.2. We grant you a non-exclusive, revocable, worldwide, non-transferable license to use the Software in accordance with these Terms. You may not use the Software for any unlawful or inappropriate purpose.
- 2.3. You are responsible for maintaining the confidentiality of your account information and password. You are liable for all activity on your account.
3. Cardella Services
- 3.1. We provide access to the Software, support services, and other services as detailed in your Account.
- 3.2. We endeavor to make the Software available at all times but may perform maintenance, causing temporary unavailability.

- 3.4. You acknowledge that the Software may rely on third-party systems (Third-Party Services). We are not liable for any unavailability due to Third-Party Services.
- 3.5. You acknowledge the risk of data loss and agree to maintain a backup of any data you input.
- 3.6. You acknowledge that your employer, business entity, or third parties may access your data if your account is linked to a business membership. We are not liable for any data loss.
4. Products
- 4.1. You will be charged for the Products based on your chosen volume and specifications.
- 4.2. Title to the Products passes to you upon full payment.
- 4.3. You may cancel your order for Products within 48 hours without charge.
- 4.4. Delivery of Products is at your cost, and we accept no responsibility for delays or damage during transit.
5. Accounts
- 5.1. You must register on the Software to access its features.
- 5.2. You will provide basic information, including your email address, when registering.
- 5.3. Your personal information will be treated in accordance with our Privacy Policy.
- 5.4. You agree to provide and maintain up-to-date account information and not share your password.
6. Memberships
- 6.1. Your Membership may begin with a free trial. We determine eligibility and may revoke the trial or suspend your account if we suspect abuse.
- 6.2. Unless suspended or terminated, your Membership will auto-renew on a monthly or annual basis (based on your subscription). You will be charged the same fees on an ongoing basis. You can cancel your Membership at any time, but cancellation will only take effect from the expiry of your paid subscription period.
- 6.3. We offer various payment methods. You acknowledge that we have no control over third-party payment providers.
- 6.4. You must not pay with fraudulent or unlawful means. You warrant that you are authorized to use the debit or credit card used for payment.
- 6.5. We may set off or deduct any amounts payable by you from any monies payable to you under these Terms.
- 6.6. We do not store any credit card details; all payment information is collected and stored through our third-party payment processors.
- 6.7. Changes to Your Membership: You can suspend, upgrade, or change your Membership with at least 48 hours’ notice before the next Payment Date. Increased fees will apply on the next Payment Date, pro-rated for the time between the change and the Payment Date. You will have access to the additional features within 48 hours.
- 6.8. Fees and Product Fees are non-refundable and non-cancellable once paid.
- 6.9. We may change what’s available as part of your Membership (inclusions, exclusions, updated features) with 45 days’ notice. After 45 days, the changes will apply to your Membership. You may cancel your Membership if the changes substantially and adversely affect your enjoyment.
- 6.10. We may change the Fees with 45 days’ notice. After 45 days, the updated Fee will apply to your Membership. You may cancel your Membership if the updated Fee is not acceptable.
7. Your Data
- 7.1. You own all data you upload to the Software (Your Data) and any data output from the Software using Your Data as input (Output Data). We do not own the Analytics (statistical and performance information based on your Software use).
